Terms & Conditions

1. Scope of Digital Services

InnoFeature Labs specializes in providing high-performance digital solutions, including:

• Enterprise Development: Custom ERP, CRM, and Inventory Management Systems.
• Product Engineering: SaaS platforms, Mobile App Development (iOS/Android), and Web Applications.
• Marketing Strategy: Technical SEO, Lead Generation, and UI/UX Design.
• Consultancy: IT infrastructure auditing and digital transformation consulting.

2. Project Engagement & Agreement

All collaborations officially commence upon a signed Service Level Agreement (SLA) or a Statement of Work (SoW). We operate on a strict requirement-gathering phase; any "Scope Creep" (additional features requested after the development phase starts) will be subject to a formal Change Request and additional billing at our standard hourly rate.

3. Financial Terms & Milestone Billing

To maintain transparency, InnoFeature Labs follows a milestone-based payment schedule:

• Initial Deposit: A non-refundable commitment fee is required to schedule resources.
• Milestone Payments: Payments are due within 7 business days of reaching agreed project phases (e.g., Alpha release, Beta testing).
• Final Settlement: Source code or live deployment is provided only after the successful settlement of the final invoice.

4. Proprietary Rights & Licensing

Upon final payment, the exclusive intellectual property (IP) of the customized software is transferred to the client. However:

InnoFeature Labs retains ownership of its "Background Technology," including proprietary libraries, pre-existing frameworks, and reusable codebase components used to build the solution. We grant the client a perpetual, non-exclusive license to use these components within the delivered product.

5. Confidentiality & GDPR Compliance

We handle all sensitive business data with enterprise-grade security. In alignment with GDPR and UK Data Protection acts, InnoFeature Labs ensures that your trade secrets, user data, and project documentation remain confidential and are never shared with unauthorized third parties.

6. Warranties & Limitation of Liability

While we strive for 100% technical accuracy, InnoFeature Labs provides software "as-is" following the UAT (User Acceptance Testing) phase. We are not liable for:

• Server-side failures or hosting downtime by third-party providers.
• Loss of revenue due to algorithm changes by search engines (for SEO projects).
• Security breaches caused by weak client-side password management.

7. Termination of Service

Either party may terminate the agreement with a 15-day written notice. In the event of termination, the client is liable to pay for all work completed up to the date of cancellation.
